Programme Overview
The role of the company secretary is evolving beyond statutory administration and procedural compliance. As boards contend with more complex regulatory, sustainability, technology and stakeholder considerations, company secretaries are increasingly expected to serve as trusted governance advisers who support the integrity and effectiveness of board processes.
This requires company secretaries to understand not only what the applicable governance requirements are, but also how these requirements should be translated into effective boardroom practices. Their responsibilities extend to improving the quality of information presented to the board, facilitating well-structured deliberations, maintaining appropriate records and advising on matters that may require further attention or escalation.
The company secretary also plays an important role in maintaining clarity across the board–management interface. This includes supporting the chair and directors while preserving professional independence, identifying potential governance concerns and ensuring that matters such as conflicts of interest, dissent and follow-up actions are handled appropriately.
At the same time, emerging areas such as sustainability reporting, artificial intelligence, cybersecurity and information governance are widening the range of issues reaching the board agenda. Company secretaries must be able to recognise their governance implications, help
ensure that the board receives appropriate information and facilitate effective oversight without being expected to serve as technical specialists.
Through practical discussions and an integrated case exercise, this programme examines how company secretaries can move beyond a predominantly compliance-based role and contribute more strategically to board effectiveness, governance quality and sound decision-making.
