ICDM committed to improving directors’ professionalism, board effectiveness

THE Institute of Corporate Directors Malaysia (ICDM) has big plans to enhance the country’s corporate effectiveness. Launched in October last year, ICDM sees itself as a “one-stop professional institution for directors, by directors” to enhance board effectiveness and directors’ professionalism through education, competency-based sourcing of directors, evaluation, research and advocacy.

KUALA LUMPUR, 28 Jun (Bernama) — Institut Pengarah Korporat Malaysia (ICDM) sedang membangunkan program yang bertujuan untuk meningkatkan budaya tadbir urus korporat dalam kalangan generasi seterusnya pengarah syarikat.

Presiden dan Ketua Pegawai Eksekutifnya Michele Kythe Lim berkata institut itu berusaha untuk membawa lebih banyak perusahaan kecil dan sederhana (PKS) menyertai program tersebut, yang merupakan sebahagian daripada pelan menyeluruhnya untuk meningkatkan budaya tadbir urus korporat dalam syarikat Malaysia.

The talent pool of independent or non-executive directors (NED) is too thin, and that is affecting the process of governance and oversight on boards throughout corporate Malaysia, experts said.

Coupled with the inadequate compensation received by NEDs, questions were also raised if companies are attracting the right people as NEDs as there is a need for better quality independent directors and NEDs sitting on boards with outspoken minority shareholders increasingly pushing for this.

KUALA LUMPUR – Kalangan Pengarah Bukan Eksekutif (NED) di Malaysia menerima bayaran gaji yang amat rendah dalam persekitaran serta perubahan kompleks senario perniagaan masa kini susulan pendedahan skandal korporat di negara ini.

Sehubungan itu, Presiden merangkap Ketua Pegawai Eksekutif Institut Pengarah Korporat Malaysia (ICDM), Michele Kythe Lim berkata adalah penting bagi memastikan ganjaran dan tugas itu adalah setimpal bagi menarik penyertaan individu yang berkualiti untuk menggalas jawatan sebagai NED.

THE Institute of Coporate Directors Malaysia (ICDM) is developing programmes aimed at enhancing corporate governance (CG) culture among the next generation of company directors.

Its president and chief executive officer Michele Kythe Lim said the institute is working to bring on board more small and medium enterprises (SMEs) into the programmes, which are part of its wider plan to enhance the CG culture in Malaysian companies.

The ICDM has engaged SME Corp and Malaysia Digital Economy Corporations (MDEC) to review the institute’s proposals on empowering SMEs.

她指出,为了确保上述目标它的长期永续性,大马需要推动正确方向,特别是从企业高层开始,通过加强董事专业及推动大马企业,从开始的管制纪律至市场纪律,至最终的自身纪律的阶段

她指出,该协会要加强国内的企业监管生态系统,以及扮演提升企业董事专业的标准。

该协会总裁兼首席执行员林明诗指出,目前已经有更多上市或未上市公司的董事部及董事,对该协会的活动有兴趣,从而显示企业董事更著重持续提升技巧及知识的重要,以便在市场保持竞争力及有效性。

林明诗指出,去年该协会总共招揽了125位个人及11家企业会员,同时通过2项公开活动-能力开讲(Power-Talk)接触了180位的参与者。她表示,该协会在2019年招募活动目标,放眼企业会员25家(目前已达23家)、个人会员目标则为500名、以及附属会员100名。

KUALA LUMPUR (June 28): The Institute of Corporate Directors Malaysia (ICDM) will be increasing its focus on bringing in more members from the Small and Medium Enterprise (SME) segment, as part of its overall plan to develop the next generation of directors and enhance the Malaysian corporate governance culture.

This is necessary given that SMEs make up nearly the whole fraction of the business community in the country, said ICDM president and chief executive ocer Michele Kythe Lim.
