What is this product for?
Directors and Officers Liability insurance is designed to protect non-executive directors and officers of companies against personal liability that they might incur in respect of amounts which they are liable for, in respect of claims made against them arising out of the performance of their duties.
Many company directors worry that their company does not buy or renew D&O Liability insurance, that the coverage is not adequate, or that the policy may not be activated to protect them when the need arises.
Who needs Personal D&O Insurance?
It is not only full-time company directors who will benefit from the introduction of Personal D&O Insurance. Accountants, lawyers, and other professional who accept temporary or permanent positions on the boards of their client companies have an obvious need for such a portable, personal cover. Companies that are trying to attract top talent to their board may also offer a Personal D&O Insurance policy as an extra benefit. The key benefit of this policy is its inherent flexibility.

- What is the period of cover?
Cover is based on a period of insurance of 12 months. All policies have a common due date of 1 May.
- What is the coverage?
Coverage is based on the Allianz Protect Non Executive Director Liability Policy wording.
- What types of claims can arise?
Claims that can be brought against directors and officers include:
- Claims that directors failed to inform shareholders of the correct financial position of the company.
- Claims that directors have breached a confidentiality requirement by unintentionally releasing private company information.
- Claims by competitors that directors have breached copyright or have illegally copied a financial product or strategy.
- Claims that directors have defamed a competitor.
- Claims that directors failed to properly supervise the activities of the company. Such claims can arise when a company is found to have failed to comply with regulations regarding licensing, or compliance with securities trading laws.
- Claims that directors had breached employment laws regarding wrongful dismissal, harassment, denial of opportunity or similar matters.
- Claims that directors acted dishonestly in dealing with business partners in joint ventures.
- Claims that directors allowed a company to continue trading when they were aware that it was insolvent.
- What are the policy exclusions?

- The Employee Retirement Income Security Act, 1974 (USA) (ERISA) Exclusion (as stated in the policy)
- Bodily Injury and Property Damage Exclusion – ‘for’ language (as per policy)
- Professional Services Exclusion – carve back for securities claims brought or maintained, directly or derivatively, by securities holder
- Will I be covered for a criminal prosecution?
It is not possible to purchase insurance protection against criminal prosecutions, or the resulting fines or penalties. However, the policy provides cover for the cost of successfully defending a criminal prosecution.
- How many directorships can I include?
Each insured director may nominate up to three separate directorships for cover. Directorships are accepted from all industries except for financial services companies, companies listed outside of Malaysia, and companies with a negative net worth.

Conditions
Cash Before Cover
The premium due must be paid and received by Allianz before the cover can commence. This coverage is automatically null and void if this condition is not satisfied.
Eligibility
Insured Person aged between twenty one (21) years old to seventy (70) years old.
This insurance cover will be renewable up to seventy (70) years old

Duty of Disclosure
Consumer Insurance ContractPursuant to Paragraph 5 of Schedule 9 of the Financial Services Act 2013, if you are applying for this Insurance wholly for purposes unrelated to your trade, business or profession, you have a duty to take reasonable care not to make a misrepresentation in answering the questions in the Proposal Form and/or all the questions required by Allianz fully and accurately and disclose any other matter that you know to be relevant to our decision in accepting the risks and determining the rates and terms to be applied, otherwise it may result in avoidance of contract, claim denied or reduced, terms changed or varied, or contract terminated.
Non-consumer Insurance Contract
Pursuant to Paragraph 4(1) of Schedule 9 of the Financial Services Act 2013, if you are applying for this Insurance for purposes related to your trade, business or profession, you have a duty to disclose any matter that you know to be relevant to our decision in accepting the risks and determining the rates and terms to be applied and any matter a reasonable person in the circumstances could be expected to know to be relevant, otherwise it may result in avoidance of contract, claim denied or reduced, terms changed or varied, or contract terminated.
This Duty of Disclosure for Consumer and Non-consumer Insurance Contract shall continue until the time the contract is entered, varied or renewed. This policy provides you with coverage for your house and contents and covers loss or damage by fire, lightning, explosions, flood, burst pipe or by any perils mentioned in the insurance policy.
What are the covers / benefits provided?
Section A –Building:
Houseowner Insurance
- Loss or damage to your building due to fire, lightning, explosion caused by gas used for domestic purposes, aircraft damage, impact damage, bursting or overflowing of water tanks or pipes, hurricane, cyclone, typhoon, windstorm, earthquake, volcanic eruption, flood and housebreaking
- Loss of rent / Costs of temporary accommodation
- Owner’s / Tenant’s Liability
- Removal of debris
- Architect, Surveyor and Consultant’s fees You may extend to cover additional perils by paying additional premium.
Section B – Home Contents:
All-Risks
- Loss or damage to Contents including Personal Effects belonging to You or to members of Your Family permanently residing with you whilst contained in Your Building specified in in the Schedule used solely for residential purposes

FAQs
- Is it necessary for my house be constructed of brick/concrete walls, reinforced concrete floor and roofed with tiles/concrete/asbestos to enjoy the above premium?
Yes, and additionally your house also must be solely used as a private dwelling.
- How much should I insure my property?
For Section A - Building, you should insure based on the cost of rebuilding the property, inclusive of all renovations, fixtures & fittings. TV Aerials and auto-gates are deemed as part of the building as well.
For Section B - Home Contents, you should insure the total value of all your Home Contents, which means personal and household belongings of every description belonging to you and any member of your family residing with you.
- Can I include other perils to my Houseowner Insurance?
Yes, you can do so by paying an additional premium.
- Is there a limit to any item insured?
Yes, there is a single article limit of 10% of your Home Contents total Sum Insured, except for jewellery, household appliances and items such as furniture, pianos, organs, radios, television sets, DVD players, Hi-Fi equipment and similar items, unless specially declared as a separate item.
- Can I cover jewellery?
Yes, you can. For platinum, gold, silver articles, jewellery and furs there is a maximum limit of 1/3 or 1/2 of total Sum Insured depending on the option that you select.
- Are Astro satellite dishes or air-conditioning compressors covered by this policy?
Yes, it is covered as these items are considered as part of the Home Contents.
- What is the limit for each item of my personal effects under the Worldwide Personal All Risks Insurance?
You can insure your personal effects up to RM10,000 for each item.

FAQs
- Will the premiums increase as my age increases?
Yes. The premium payable will depend on your attained age which shall be the age at the nearest birthday at each policy anniversary.
- Are the premiums for the product guaranteed?
The premiums for this plan is not guaranteed and the insurance company reserves the right to revise the premium by giving the policyholders 30 days written notice to the next policy anniversary.
Factors contributing to the increase in premiums are age specific and plan specific, claims experience, medical inflation, etc.
- Are the premiums paid or this product eligible for income tax relief?
Yes, the premiums paid for this plan may qualify you for a personal tax relief of up to RM 3,000 for medical and education insurance, subject to the final decision of the Inland Revenue Board of Malaysiabr
- What are the major exclusions for this product?
No benefit shall be payable for any of the following services, products or conditions or injuries resulting from:
- Pre-existing conditions prior to the inception (the first time or whenever there is a break of cover) of the insurance cover, whichever is later;
- Specified illnesses below that occurs within the first hundred and twenty (120) days of cover:
- Hypertension, diabetes mellitus and Cardiovascular disease;
- All tumours, cancers, cysts, nodules, polyps, stones of the urinary system and biliary system; • All ear, nose (including sinuses) and throat conditions;
- Hernias, haemorrhoids, fistulae, hydrocele, varicocele;
- Endometriosis including disease of the Reproduction system;
- Vertebro-spinal disorders (including disc) and knee conditions;
- Illness or disease occurring within the first thirty (30) days from the Effective Date or Date of Reinstatement, whichever is later;
- Cosmetic surgery or treatment, or treatment of their complications (inclusive of double eyelids, acne, keloids etc) except as necessitated by accidental injuries;
- Care and treatment that is experimental, investigative and not according to accepted professional standards and care that is not medically necessary;
- Treatment for injuries sustained while committing a crime or felony, or while under the influence of alcohol, narcotics, or mind-altering substance or injuries which are self-inflicted while sane or insane.
- Investigation and treatment relating to pregnancy including childbirth and all complications arising therefrom except for miscarriage due to motor vehicle accident, subject to its limitations;
- Treatment, therapy or surgical operation for congenital or hereditary diseases, deformities and disabilities and any medical or surgical complication arising therefrom;
- Any medical treatment received outside Malaysia, apart from Singapore and Brunei, if the Insured resides or travels outside Malaysia for more than ninety (90) consecutive days.

- Is there any amount that I have to pay upon discharge?
Depending on the plan and deductible option chosen, you will have to bear the self-insured deductible amount (if any), and also the items which are not covered by the policy. The self-insured deductible amount indicated is based on the attained age of the Insured at the point of claim.

- I would like to purchase one of these insurance products, what do I do?

- Can I buy any of these products if I am not a member of ICDM ?
Unfortunately not. These products are only made available to ICDM members . A Health Maximiser and Personal D&O are not available for anyone else to purchase directly, and Smarthome and the Personal Accident cover are given at highly competitive rates.
- What happens to my purchased insurance(s) if I am no longer an ICDM member?
Purchased insurance must be renewed with a valid ICDM membership to continuously enjoy the competitive premium and comprehensive coverage ICDM and Sterling have provided. In the event your ICDM membership is discontinued, for any reason, you may renew the insurance products at a different premium, as may be determined by Sterling.
- How do I make a claim? What if my details were to change? What about any other questions I may have?
All queries regarding insurance transactions/claims and changes in details are to be referred to ICDM’s strategic partner, Sterling Insurance Brokers, who will advise you accordingly.
- Can I cancel my policy?
You may terminate your policy by giving written notice to Sterling Insurance Brokers. Termination shall become effective on the date the notice is received or on the date specified in such notice whichever is the later. Refund of premium, however, is subject to the terms and conditions stipulated in the Policy (to be referred to each of the policy documents).
- What do I need to do if there are changes to my contact/personal details?
It is important that you inform us of any changes in your contact and personal details to ensure that all correspondence reach you timely manner.
